By accessing or using the School Agents service ("Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service.
2. Description of Service
School Agents is a web auditing and compliance tool designed for educational institutions in the UK. The Service automatically monitors school websites for outdated content, compliance issues, broken links, spelling errors, and conflicting information.
3. Account Registration and Security
3.1 Registration Requirements
To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
3.2 Account Security
You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify School Agents immediately of any unauthorized use of your account or any other breach of security.
3.3 School Verification
School Agents requires verification of school identity through a unique code sent to the head teacher's email. You represent that you have the authority to register your school for this Service or have obtained proper authorization from the appropriate authority.
4. Subscription and Payment
4.1 Fees
The Service is provided on a subscription basis. Fees are as stated at the time of purchase and may be changed with notice for future billing periods.
4.2 Billing
You will be billed in advance on a recurring basis, depending on the subscription plan you select. School Agents reserves the right to change the billing frequency with appropriate notice.
4.3 Cancellation
You may cancel your subscription at any time. Upon cancellation, you will continue to have access to the Service through the end of your current billing period.
5. Acceptable Use
5.1 Compliance with Laws
You agree to use the Service in compliance with all applicable laws and regulations.
5.2 Prohibited Actions
You agree not to:

Engage in any activity that interferes with or disrupts the Service

Attempt to gain unauthorized access to the Service or related systems

Use the Service to store or transmit viruses or malicious code

6. Intellectual Property Rights
6.1 School Agents Content
The Service and its original content, features, and functionality are owned by School Agents and are protected by copyright, trademark, and other intellectual property laws.
6.2 User Content
You retain any rights you may have to the content you provide to the Service. By submitting content to the Service, you grant School Agents a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute that content solely for the purpose of providing the Service.
7. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. SCHOOL AGENTS DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
8. Limitation of Liability
IN NO EVENT SHALL SCHOOL AGENTS, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.
9. Indemnification
You agree to defend, indemnify, and hold harmless School Agents, its contractors, suppliers, officers, directors, and employees from all liabilities, claims, and expenses that arise from your use of the Service or violation of these Terms.
10. Termination
10.1 Termination by School Agents
School Agents may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.
10.2 Termination by You
You may terminate these Terms at any time by cancelling your subscription and discontinuing use of the Service.
10.3 Effect of Termination
Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive.
11. Changes to Terms
School Agents reserves the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions.
13. Dispute Resolution
Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by the courts of the United Kingdom.
14. Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
15. Data Processing Agreement
If required by applicable law, educational institutions using the Service may request a data processing agreement that complies with GDPR and UK data protection requirements.
